1. Agreement to Terms

By creating an account, accessing, or using Numen ("the Service", "the Platform", "we", "us", "our"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclaimer (collectively, the "Agreement"). If you do not agree to these Terms, you must not use the Service.

Numen is operated by Numen Labs Ltd, registered at 39 Rosaville Road, London SW6 7BN ("Numen Labs Ltd").

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age.
  • Be legally capable of entering into binding contracts in your jurisdiction.
  • Not have been previously suspended or removed from the Service.
  • Comply with all applicable laws and regulations in your jurisdiction, including those related to cryptocurrency trading.

By creating an account, you represent and warrant that you meet all eligibility requirements.

3. Description of Service

Numen is a trade journaling, analytics, and performance tracking tool for cryptocurrency traders. The Service allows you to:

  • Connect to supported cryptocurrency exchanges via API keys to sync trade data.
  • View trade history, open positions, profit and loss (PnL), and performance analytics.
  • Maintain a trading journal with notes, reflections, and media.
  • Track trading rules, setups, and behavioural patterns.

What Numen Is Not

Numen is not a trading platform, exchange, broker-dealer, investment advisor, financial planner, or money transmitter. Numen does not:

  • Execute, place, modify, or cancel trades on your behalf.
  • Withdraw, transfer, or move funds from your exchange accounts.
  • Provide investment advice, trading signals, trade recommendations, or solicitations to buy or sell any financial instrument or cryptocurrency.
  • Have custody of your funds or digital assets at any time.

4. Not Financial Advice

THE SERVICE IS A DATA RECORDING AND ANALYTICS TOOL. NOTHING ON THE PLATFORM CONSTITUTES FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE.

All data, analytics, performance metrics, PnL calculations, win rates, and any other information displayed on the Platform are provided for informational and educational purposes only. No content on Numen should be interpreted as a recommendation to buy, sell, hold, or trade any cryptocurrency or financial instrument.

You are solely responsible for your own trading decisions. You acknowledge that:

  • Trading cryptocurrency involves substantial risk, including the risk of total loss of capital.
  • Past performance, as displayed on Numen, does not guarantee future results.
  • You should consult a qualified, licensed financial advisor before making investment decisions.
  • Numen has no knowledge of your financial situation, risk tolerance, or investment objectives.

5. Exchange API Keys and Credentials

5.1 User Responsibility

To use certain features of the Service, you may provide API keys from supported cryptocurrency exchanges (including but not limited to HyperLiquid, Bitunix, and Bitget). By providing API keys, you acknowledge and agree that:

  • You provide API keys voluntarily and at your own risk.
  • You are solely responsible for creating, managing, rotating, and revoking your API keys on the relevant exchange.
  • You should only provide read-only API keys with no trading, withdrawal, or transfer permissions. Numen strongly recommends against providing API keys with write access.
  • You are responsible for ensuring your API keys comply with the relevant exchange's terms of service.

5.2 How We Handle API Keys

  • API keys and secrets are encrypted at rest using industry-standard encryption.
  • API keys are transmitted over encrypted connections (TLS/SSL).
  • Numen uses API keys solely to retrieve your trade data, position data, and account balances for display within the Service.
  • Numen will never use your API keys to execute trades, withdraw funds, transfer assets, or modify your exchange account settings.

5.3 Limitation of Liability for API Keys

Numen is not responsible or liable for:

  • Any unauthorized access to your exchange account, whether or not related to API keys stored on the Platform.
  • Any trades executed, funds lost, or account modifications resulting from compromised API keys, unless such compromise is directly and solely caused by a security breach of Numen's own systems.
  • Any actions taken by the exchange, including but not limited to account suspension, rate limiting, or API key revocation.
  • Any losses arising from providing API keys with permissions beyond read-only access.

5.4 Exchange Disclaimer

Numen is not affiliated with, endorsed by, or partnered with any cryptocurrency exchange, including but not limited to HyperLiquid, Bitunix, Bitget, Binance, Bybit, OKX, or any other exchange. All exchange names, logos, and trademarks are the property of their respective owners. The availability of exchange integrations does not imply any partnership or endorsement.

6. Accounts and Security

6.1 Account Registration

You must provide accurate, complete, and current information when creating an account. You agree to update your information promptly if it changes. You may not create more than one account per person.

6.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at support@numenlabs.xyz if you suspect any unauthorized access to your account.

You must not share your account credentials with any third party.

6.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms or any applicable law.
  • You engage in fraudulent, abusive, or harmful activity.
  • Your account poses a security risk to the Platform or other users.
  • You fail to pay applicable subscription fees after the grace period.

7. Subscription and Billing

7.1 Subscription Plans

Access to the Service requires a paid subscription. Details of available plans, pricing, and included features are displayed on the Platform and may change from time to time.

7.2 Free Trial

We may offer a free trial period for new users. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. The duration and terms of the trial will be clearly stated at the time of sign-up.

7.3 Billing and Renewal

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Payment is processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.

7.4 Price Changes

We may change subscription pricing with at least 30 days' advance notice via email or in-app notification. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

7.5 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, your account may be downgraded or suspended. You are responsible for ensuring your payment method is valid and has sufficient funds.

7.6 Cancellation

You may cancel your subscription at any time through the Platform's settings or by contacting support@numenlabs.xyz. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

7.7 Refunds

All subscription fees are non-refundable, except where required by applicable law. If you are a consumer in the European Union, you have a 14-day right of withdrawal from the date of purchase. By using the Service immediately after subscribing, you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal once the Service has been fully performed.

8. Data Accuracy

8.1 No Guarantee of Accuracy

All data displayed on the Platform, including but not limited to trade history, PnL calculations, win rates, analytics, position data, and account balances, is provided "as is" and may contain errors, delays, or inaccuracies.

8.2 Exchange Data Limitations

Data is sourced from third-party exchange APIs, which may:

  • Experience downtime, latency, or rate limiting.
  • Provide incomplete, delayed, or inconsistent data.
  • Change their API format, endpoints, or data availability without notice.
  • Have discrepancies between their API data and their own platform displays.

8.3 User Verification

You should always verify critical trading data, PnL figures, and position information directly with your exchange. Do not rely solely on Numen for tax reporting, financial record-keeping, or trading decisions.

9. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use bots, scrapers, or automated tools to access the Service beyond normal use.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service to circumvent any exchange's terms of service.
  • Share, sell, or transfer your account to another person.
  • Submit false, misleading, or fraudulent information.
  • Use the Service in any way that could harm, disable, or impair the Service or other users' experience.

10. Intellectual Property

10.1 Our Property

The Service, including all software, design, text, graphics, logos, icons, and branding, is owned by Numen Labs Ltd and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

10.2 Your Content

You retain ownership of all content you create on the Platform, including journal entries, notes, tags, and uploaded media ("User Content"). By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

10.3 Your Trade Data

Your trade data synced from exchanges remains your data. We claim no ownership over your trade history or financial data. Upon account termination, you may request export of your data (see Section 13).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Numen, its officers, directors, employees, and agents shall not be liable for any:

  • Direct, indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, or business opportunities.
  • Trading losses, missed trading opportunities, or unfavourable trading outcomes.
  • Damages resulting from exchange downtime, API failures, data sync errors, or data inaccuracies.
  • Damages resulting from unauthorized access to your account or API keys (except where directly caused by a breach of our systems).
  • Damages arising from reliance on any data, analytics, or information displayed on the Platform.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in subscription fees during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Numen, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service.
  • Your trading activities or trading decisions.
  • Your violation of these Terms or any applicable law.
  • Your provision, use, or mismanagement of exchange API keys.
  • Any content you post, upload, or share through the Service.
  • Any dispute between you and any third party, including any exchange.

13. Termination

13.1 Termination by You

You may delete your account at any time through the Platform's settings or by contacting support@numenlabs.xyz.

13.2 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately (or at the end of your current billing period, if applicable).
  • We will retain your data for 30 days after termination to allow you to request a data export. After this period, your data will be permanently deleted from our systems, except where retention is required by law.
  • Any provisions of these Terms that by their nature should survive termination (including but not limited to Sections 4, 5.3, 8, 11, 12, and 15) shall survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account or via a prominent in-app notification.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

15. Governing Law and Disputes

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

15.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

16.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and Numen regarding the Service and supersede all prior agreements and understandings.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, exchange outages, internet disruptions, cyberattacks, government actions, or pandemics.
